Board of Directors of Holcim Ltd

Hanne Birgitte Breinbjerg Sørensen and Anne Wade to be proposed for election and Beat Hess for re-election to the Board of Directors of Holcim Ltd. Wolfgang Reitzle to take over as Chairman in 2014; to ensure continuity, Rolf Soiron is prepared to continue his mandate for another year.

At the Annual General Meeting of April 17, the Board of Directors will propose the election of Hanne Birgitte Breinbjerg Sørensen to the Board of Directors of Holcim Ltd. As CEO of Maersk Tankers, Copenhagen, one of the world’s largest tanker operators, she has experience in logistics questions, which are becoming increasingly important for international companies. Maersk Tankers runs a tanker fleet of around 250 oceangoing vessels, has a workforce of 4,200 and generated revenue in the region of USD 1.3 billion in 2012. Hanne Birgitte Breinbjerg Sørensen holds an MSc in Business Economy from the University of Aarhus. 

Furthermore, the Board of Directors is proposing the election of Anne Wade, an investor with extensive experience in capital markets. From 1995 to 2012, she was Senior Vice President and Director of an investment management company, Capital International, based in London. Throughout that time she was responsible for European infrastructure and construction related investments. Anne Wade is currently a member of the Board of Trustees of the FB Heron Foundation in New York. She graduated with a BA from Harvard University and holds a Master of Science from the London School of Economics. 

Additionally, the Board of Directors is proposing the re-election of Beat Hess for a three year term according to the articles of incorporation. He is currently Deputy Chairman of the Board of Directors, and his confirmation in this function is intended.

Markus Akermann and Peter Küpfer are no longer available for re-election. Effective from the date of the Annual General Meeting, Christine Binswanger has resigned from the Board. The Board of Directors would like to thank all retiring Board members for their commitment over many years, for their valuable contribution and loyal collaboration. 

The Board of Directors has designated Wolfgang Reitzle as the new Chairman. He will, however, take over this mandate only in 2014. To ensure continuity also Rolf Soiron is proposed for re-election. Erich Hunziker, Deputy Chairman and Chairman of the Nomination & Compensation Committee explains this proposal: "We have asked Rolf Soiron to keep his office for a further year in order to guarantee an optimal transition and introduction of the future Chairman to the tasks ahead." Rolf Soiron will not stand for re-election at the Annual General Meeting 2014.
