Representing 50.5 percent of the company’s share capital, the 1,279 shareholders attending the 99th Annual General Meeting of Holcim Ltd approved all the motions proposed by the Board of Directors with large majorities.
In particular, the payout from capital contribution reserves of CHF 1.50 per registered share was approved. The payment will take place on May 12, 2011. The remuneration report was confirmed in an advisory vote by shareholders holding approximately 80 percent of the share capital represented.
Newly elected to the Board of Directors was Alexander Gut. He is Managing Director of Gut Corporate Finance AG, Zurich. He holds a PhD in Business Administration (Dr.oec.publ.) from the University of Zurich and is a Swiss Certified Accountant. From 1991 to 2001 he was a Senior Manager at KPMG in Zurich and London, from 2001 to 2003 a Partner with Ernst & Young in Zurich and from 2003 to 2007 a Partner with KPMG in Zurich. Since 2010, he has been a member of the Board of Directors of Adecco S.A., Switzerland. Board members Christine Binswanger, Andreas von Planta and Erich Hunziker were re-elected for a further three-year term.
After the General Assembly, under the lead of Chairman Rolf Soiron, the Board of Directors was newly constituted. Due to other commitments, Andreas von Planta, the current Deputy Chairman of the Board of Directors, opted to step down from the office of Deputy Chairman of the Board of Directors of Holcim Ltd. The Board of Directors decided to elect two Deputy Chairmen, namely Beat Hess and Erich Hunziker. The Audit Committee newly comprises Peter Küpfer (Chairman), Alexander Gut (new), Andreas von Planta and Dieter Spälti. The Governance, Nomination & Compensation Committee newly comprises Erich Hunziker (Chairman, new), Adrian Loader (new), Wolfgang Schürer and Thomas Schmidheiny.
